These Terms of Service ("Terms") govern your use of InstitutePro, a SaaS platform operated by Innodhruti Technology Solutions ("we", "us", "Innodhruti"). By registering for or using InstitutePro, you agree to these Terms.

1. Service description

InstitutePro is a web-based management platform for educational institutes including tuition centres, coaching institutes, music academies, dance studios, sports academies, language schools, and skill training centres. Features include student management, attendance tracking, fee invoicing, session pack billing, teacher payroll, parent communication, and reporting.

2. Account registration

You must provide accurate information when registering.
You are responsible for all activity under your account.
You must be 18 years or older and legally authorized to enter into contracts on behalf of your institute.
Each institute is its own tenant — one registration per institute. Multi-branch institutes with separate operations should contact us for Enterprise pricing.

3. Free trial

New accounts receive a 14-day free trial with full access to all features of the plan you selected. No credit card is required for the trial. At the end of the trial, your account will be paused until you subscribe to a paid plan. Data is retained for 30 days after the trial ends.

4. Subscriptions and billing

Subscriptions are billed monthly or annually, in advance, in Indian Rupees (INR).
Subscription fees are non-refundable except as described in the Refund Policy.
We may change pricing with 30 days' notice. Existing subscribers will be notified by email before any price increase applies to their account.
Failed payments will result in a 7-day grace period before account suspension.

5. Acceptable use

You agree not to:

Use InstitutePro for any unlawful purpose
Upload or share content that is illegal, harmful, or violates third-party rights
Attempt to access other tenants' data or circumvent security measures
Use automated tools to scrape or extract data without our permission
Reverse-engineer the platform
Resell or white-label InstitutePro without an Enterprise agreement

6. Data and privacy

You retain ownership of all data you enter into InstitutePro (student records, attendance, fee data, etc.). By using the platform, you grant us a limited license to process that data to provide the service. Our Privacy Policy explains in detail how we handle your data.

You are responsible for ensuring you have the right to enter personal data about students, parents, and teachers into InstitutePro, and that your use of the platform complies with applicable Indian data protection laws.

7. WhatsApp and SMS notifications

InstitutePro integrates with MSG91 to send WhatsApp and SMS notifications. By enabling these features, you confirm that the recipients (parents, students, teachers) have consented to receive WhatsApp/SMS communications from your institute. You are responsible for obtaining this consent.

8. Uptime and service availability

We target 99.5% uptime (excluding scheduled maintenance). Enterprise plans include an SLA-backed 99.9% uptime commitment. Scheduled maintenance will be announced at least 24 hours in advance.

9. Limitation of liability

InstitutePro is provided "as is." To the maximum extent permitted by Indian law, Innodhruti's liability for any claim related to InstitutePro is limited to the fees you paid in the 3 months preceding the claim. We are not liable for indirect, consequential, or incidental damages.

10. Termination

You may cancel your subscription at any time from your account settings. We may suspend or terminate accounts that violate these Terms. Upon termination, data is retained for 30 days and then permanently deleted.

11. Governing law

These Terms are governed by the laws of Maharashtra, India. Any disputes will be resolved in the courts of Pune, Maharashtra.
